These Terms of Service (Terms) govern your access to and use of the CodeShop website, products, and services (Services). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
1. Account Registration
When you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with any provision of these Terms.
2. Purchases and Payments
By purchasing any of our templates or services, you agree to pay all fees and applicable taxes. All payments are processed through our secure payment gateway. Prices for our products are subject to change without notice.
You agree to provide current, complete, and accurate purchase and account information for all purchases made on our site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.
3. Intellectual Property Rights
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by CodeShop, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Our templates are licensed, not sold. The scope of your rights to use the templates is defined in our License Agreement.
4. Prohibited Uses
You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:
- In any way that violates any applicable local, national, or international law or regulation.
- To engage in any conduct that restricts or inhibits anyones use or enjoyment of the Services.
- To exploit the Services or collect information from the Services using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.
- To attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.
- To resell or redistribute our templates or products unless specifically authorized by our license terms.
5. User Contributions
Our Services may contain message boards, chat rooms, personal web pages or profiles, forums, and other interactive features that allow users to post, submit, publish, display, or transmit content or materials. Any content you post to the site will be considered non-confidential and non-proprietary.
You represent and warrant that all content you submit meets our content standards, and you will bear full responsibility for any violations of these standards.
6. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7. Disclaimer of Warranties
Your use of the Services is at your sole risk. The Services are provided on an AS IS and AS AVAILABLE basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
CodeShop does not warrant that (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.
8. Limitation of Liability
In no event shall CodeShop, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of Cambodia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
